INTRODUCTION

This Usage Policy ("Policy" or "Agreement") establishes the terms and conditions governing your use of the cryptocurrency exchange services ("Services") offered at www.blocknest.solutions ("Website"). These Services are provided by BLOCKNEST CORP., a company duly incorporated and operating under the laws of the Republic of Panama (hereinafter referred to as "Company," "we," "us," or "our"). By using the Website and Services, you enter into a legally binding contract with the Company, subject to Panamanian laws and regulations.

1. OWNERSHIP OF INTELLECTUAL PROPERTY

All intellectual property rights relating to the Website and Services remain the exclusive property of the Company or its licensors. No license or right is conferred to any user unless expressly provided herein. Users are prohibited from reproducing, modifying, reverse engineering, or misusing the Company’s intellectual property in any form.

2. ACCESS REQUIREMENTS

Access to the Website and Services is restricted to individuals who are at least 18 years of age and have the legal capacity to contract under Panamanian law. Full access requires registration and compliance with Know Your Customer (KYC) and Anti-Money Laundering (AML) obligations, pursuant to Law 23 of 2015 and regulations issued by the Unidad de Análisis Financiero (UAF). Failure to provide requested compliance documentation may result in termination of access. To verify your identity and safeguard against financial crimes, including but not limited to money laundering, terrorist financing, and fraud, we may request additional personal information. Any such data will be handled in strict accordance with our Data Protection and Privacy Statement and applicable data protection regulations. You understand and agree that if you fail to provide any reasonably requested information necessary for compliance with anti-money laundering laws and regulations after becoming a customer, we reserve the right to terminate your access to our Services and/or this Agreement. All costs incurred in connection with the use of our Services are your sole responsibility.

3. RESTRICTED TERRITORIES AND USER RESPONSIBILITIES

Our Services are unavailable to users residing in or accessing from territories classified as high-risk or subject to sanctions by the Financial Action Task Force (FATF), the United Nations, or Panamanian authorities. Users are responsible for complying with all applicable Panamanian laws and must ensure the accuracy of the information provided. Any attempt to misuse the Services will result in termination of access. Our Services are unavailable to users residing in or accessing from the following territories: Afghanistan, Central African Republic, Cuba, Crimea and Sevastopol, Democratic Republic of Congo, Eritrea, Iran, Iraq, Libya, Lebanon, Mali, North Korea, Somalia, South Sudan, Sudan, Yemen, Syria, Guinea-Bissau, United States of America, United Kingdom, Countries of the European Union or any region subject to United Nations Security Council sanctions or equivalent restrictions. We retain the right to ascertain your IP address. Should your IP address be associated with a Restricted Territory, we may, at our discretion, block your access to the Website and Services.

4. SERVICES UTILIZATION

The Website facilitates cryptocurrency transactions directly with the Company. BLOCKNEST CORP., acts as a counterparty and not as an intermediary between third parties. Cryptocurrency transactions are final and irrevocable, subject to market volatility. Users acknowledge that they are solely responsible for compliance with applicable Panamanian financial, tax, and consumer protection regulations. The availability of certain Website features may be restricted based on your geographical location. You bear full responsibility for complying with all applicable laws and regulations in your jurisdiction of residence and/or the location from which you access our Services. We retain the right to, without prior notice and at our sole discretion, decline any transfer request, establish transfer amount limits, freeze funds, or impose additional conditions or restrictions on your use of our Website. By accepting this Policy, you confirm and agree to pass through the AML/KYC procedure, which may be applied to you or may be requested by the Company at any time.

5. AMENDMENTS AND TERMINATION

The Company reserves the right to amend this Policy in compliance with Panamanian law. Updates will be published on the Website with the corresponding “Last Updated” date. Either party may terminate this Agreement, but the Company retains the right to suspend or block access in case of breach, suspicious activity, or as required by competent authorities in Panama.

6. LIABILITY AND INDEMNITY

To the maximum extent permitted by Panamanian law, the Company is not liable for indirect or consequential damages, service interruptions, or unauthorized access to data. Users agree to indemnify and hold BLOCKNEST CORP. harmless from any claims, damages, or liabilities arising from their use of the Services or violation of this Policy.

7. GOVERNING LAW AND DISPUTE RESOLUTION

This Policy shall be governed by the laws of the Republic of Panama. Any dispute arising out of or related to this Policy shall be resolved before the competent courts or arbitral tribunals of Panama City, Republic of Panama, unless otherwise agreed by the parties.

8. MISCELLANEOUS

This Usage Policy, together with the Privacy Statement and any other incorporated policies, constitutes the entire agreement between the User and BLOCKNEST. If any provision is deemed invalid, the remainder of the Policy shall remain enforceable. Headings are included for convenience only and do not affect the interpretation of this Policy.
